These Terms of Service ("Terms") govern your access to and use of the website Sitovex.io and the services offered by Sitovex, a sole proprietorship ("Sitovex," "we," "us," or "our"). By requesting a quote, subscribing to a plan, submitting a contact form, or otherwise engaging our services, you ("Client," "you") agree to be bound by these Terms.

If you do not agree to these Terms, please do not use our services.

1. Our Services

Sitovex provides website design, development, and hosting services, offered in the following formats:

• Subscription Plans — recurring website design, hosting, and maintenance services billed on a monthly or annual basis, at the pricing tiers published on our Site.

• Scope-Based Services — one-off or custom projects that fall outside our standard subscription plans (for example, larger builds or specialized work). These are quoted individually based on the specific scope of work, as described in Section 3.

2. Getting Started: Information We Need From You

To begin work on your website, you must provide Sitovex with the following materials and information before the design timeline begins:

• Your logo

• A company profile

• Your desired marketing position (how you want to be perceived by your customers)

• Information on your competitors, if any

• Brand guidelines, if available

The design timeline described in Section 3 does not begin until you have provided this information. You are responsible for the accuracy and completeness of everything you provide us. Delays caused by incomplete or late materials from you are not counted against our delivery timeline.

3. Website Design Process

• Once we have received all required materials from you (Section 2), we will complete the initial website design within 15 business days.

• Your subscription or project fee includes two (2) rounds of revisions. Each additional round of revisions beyond the two included rounds will be billed at $80 USD per round.

• We strongly encourage you to clearly communicate all of your requirements, preferences, and feedback during the first two revision rounds to avoid additional charges.

• Scope-based / custom projects: for work outside our standard subscription plans, we will provide you with a custom quote once we have a complete understanding of your needs. Work will not begin until the quote is agreed upon and, where applicable, a deposit or full payment is received.

4. Subscription Pricing

• Subscription prices are published on our Site and are subject to change at our discretion.

• If you have an active subscription, your price will not change for the duration of your current subscription term.

• If we change our pricing and that change will affect your subscription going forward, we will notify you at least 30 days before your subscription's renewal/end date, giving you time to review the new pricing before it takes effect.

• Annual billing: clients who choose to pay annually receive a discount of approximately 20–22% off the equivalent monthly total, at the rate published on our Site at the time of purchase.

5. Payments & Billing

• We accept multiple currencies. Payments are processed through supported payment gateways or PayPal.

• Subscription fees are billed in advance for each billing period (monthly or annual, depending on your chosen plan).

• Scope-based project fees are billed according to the terms agreed in your custom quote.

• It is your responsibility to keep your payment information current. Failed or late payments may result in suspension of services, including hosting, until payment is resolved.

• Prices listed on our Site do not include taxes. Depending on your country of residence or business location, applicable taxes (such as VAT, sales tax, or other local levies) may be added to your invoice in accordance with local law.

6. Refund Policy

All fees are non-refundable. This includes, without limitation, website design fees, subscription payments, scope-based project fees, and website transfer fees, regardless of the stage of work completed, whether you cancel a project or subscription, or whether you are dissatisfied with the outcome. By engaging our services, you acknowledge and accept this policy.

• Billing errors: If you believe you were charged in error (for example, a duplicate charge or a charge that does not match your agreed pricing), contact us within 30 days of the charge and we will review and correct any confirmed billing mistake. This is a correction of an error, not a discretionary refund, and does not apply to cases of dissatisfaction, change of mind, or any other situation described above.

• Chargebacks: If you initiate a chargeback or payment dispute with your bank or payment provider without first contacting us to resolve the issue, we reserve the right to suspend or terminate your services, including hosting, while the matter is resolved.

This section should be read together with our full Refund Policy for additional detail; in the event of any conflict between the two, these Terms of Service will govern.

7. Website Ownership & Hosting

• Sitovex retains ownership of the website (design, code, and files) for as long as it remains hosted on our infrastructure, whether under a subscription or otherwise.

• You may request a transfer of your website to your own hosting at any time, provided your subscription is currently active. Transfers are subject to a one-time fee of $100 USD.

• To be clear: you own your domain name (see Section 8) at all times — ownership of the domain is separate from ownership of the website design/code hosted by us.

• Once a transfer is completed, we are not responsible for your website's performance, uptime, security, or functionality on any hosting outside of Sitovex's own infrastructure. After the transfer, we will provide you with instructions on how to get your website running on your new hosting environment; implementation and ongoing maintenance from that point forward is your responsibility.

8. Domain Name

You, the Client, own the rights to your domain name. Sitovex does not claim any ownership over your domain, regardless of who registers or manages it on your behalf.

9. Subscription Cancellation & End of Service

• You must notify us at least 90 days in advance if you wish to cancel your subscription. Your subscription remains active and billable during this notice period, and cancellation takes effect at the end of the 90-day notice period (or the end of your current paid billing period, whichever is later); no partial-period refunds are issued (see Section 6).

• After your subscription ends, your website will remain live on our hosting for a grace period of 7 days. During this window, you may reactivate your subscription to retain your website. Once reactivated, you may request a transfer under the terms of Section 7 if you wish to move your website elsewhere; transfers cannot be requested while your subscription is inactive.

• If no action is taken within the 7-day grace period, your website and any associated data hosted by us may be permanently removed and deleted. We recommend requesting a backup or transfer before your subscription ends if you wish to keep your site.

10. Site Availability & Downtime

• We make reasonable efforts to keep hosted websites available and operating normally, but we do not guarantee uninterrupted, error-free, or 100% uptime. Downtime may occasionally occur due to maintenance, updates, third-party infrastructure issues, or circumstances outside our reasonable control.

• If a website goes down, is broken, or otherwise malfunctions due to inaccurate, incomplete, or misleading information provided by the Client (including but not limited to business information, content, credentials, domain registration or DNS details, or materials submitted under Section 2), the Client is solely responsible, and Sitovex bears no liability for resulting downtime, loss, or damages.

11. Client Responsibilities & Accuracy of Information

You are responsible for ensuring that all information, content, and materials you provide to us are accurate, complete, and that you have the legal right to use them (including logos, brand assets, and marketing content). Sitovex is not liable for any issues, disputes, or damages arising from inaccurate or unauthorized information or materials you provide.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SITOVEX'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES — WHETHER IN CONTRACT, TORT, OR OTHERWISE — WILL NOT EXCEED THE TOTAL FEES PAID BY YOU TO SITOVEX IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SITOVEX IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR LOST BUSINESS OPPORTUNITIES.

13. Disclaimer of Warranties

Our services are provided "as is" and "as available." Except as expressly stated in these Terms, Sitovex makes no warranties, express or implied, regarding the services, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

14. Termination

We reserve the right to suspend or terminate your access to our services, including hosting, if you fail to make payment, violate these Terms, or use our services for any unlawful or abusive purpose. In such cases, the removal and data deletion provisions of Section 9 will apply.

15. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Arab Republic of Egypt, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the competent courts of Egypt.

16. Changes to These Terms

We reserve the right to update or modify these Terms at any time, at our sole discretion. Changes will be posted on this page with a revised "Effective Date." Where changes materially affect active subscribers (such as pricing, per Section 4), the applicable notice period will be honored. Your continued use of our services after changes take effect constitutes your acceptance of the revised Terms.
